Growing To Give Indemnity

Wherein, product is supplied by New Leaf Technologies LLC and/or Growing To Give Corporation hereinafter The Companies to a Product Recipient(s).

Product Recipient hereby assumes full responsibility for and shall defend, indemnify and hold The Companies: harmless from any liability, loss, expense (including reasonable attorneys’ fees and disbursements), fine or claim paid, or incurred by The Companies involving or arising out of: (i) Product Recipient’s breach of a covenant, representation, warranty or guaranty contained herein; (ii) any injury or death to any persons or injury or damage to any property or business resulting from or in connection with the storage, handling, distribution, sale, gift, transportation or use of the Products; or (iii) any claim that Product Recipient misrepresented or exceeded its authority or made any contractual commitment not expressly authorized by The Companies. The Companies reserve the right to participate by counsel of its own choosing in any defense, which is being provided to The Companies under the terms of this Paragraph.
